The following Terms & Conditions shall apply to the relationship between BidLife Inc, all subsidiaries of BidLife Inc, and BidLife.com ("BidLife"), and the end User ("You" or "Your"). By using BidLife’s services, You accept these Terms & Conditions, as well as the manner in which BidLife operates. These Terms & Conditions constitute the entire agreement between BidLife and You and supersede and replace all prior commitments, undertakings, or representations, whether written or oral, between You and BidLife with respect of Your use of BidLife.
You as a User, whether it is as a Seller or Buyer, are fully responsible for your activity on BidLife and agree to the Terms & Conditions as outlined. BidLife is not responsible and exempt from any and all liability regarding the transactions between Sellers and Buyers who engage in auctions or direct purchases of items. Sellers who do not ship the item, provide a defective item, or provide an item that does not meet the description are at fault. Buyers who do not receive an item, receive an item that is defective, or receive an item that does not meet the original description can file a complaint via feedback, which could result in that Seller’s account being terminated. BidLife is not responsible for fulfilling refunds for any item offered in an auction or direct sale. In addition, BidLife is not responsible for tokens played on items won and acquired but are never received or are defective in some way. Monetary refunds will not be provided under any circumstances, therefore, participate at Your own risk, just as You would on any other online auction website. Token refunds will be considered based on the circumstances and may take place when feedback is properly submitted to info@BidLife.com, and these requests will be treated on a case-by-case basis. Participation is knowingly and willingly the full responsibility of You, the User.
Information on BidLife, such as the How It Works, Help, or Privacy Policy links, are only recommendations and are not intended as rules or guidelines. BidLife is not liable or responsible for the actions of Users or other individuals under any circumstances. All activity of any User shall be governed by the written materials of BidLife as revised from time to time.
As is typical with auctions, BidLife cannot guarantee that You will be the winner of any individual auction. Playing with tokens can be very competitive, and the competition tends to grow with highly sought-after items. BidLife is a pay-per-bid website and also features a direct sale method platform as well. BidLife is not a gambling website. BidLife is a website that requires skill on behalf of You, the User. Purchasing tokens to be played on selected auctions of Your choice is not the result of chance. Playing tokens identifies Your position of play and in turn defines Your exact opportunity of acquiring the item that is available. Regardless of the number of Users per auction, it is the number of tokens played that result in a participant winning the option to acquire the item for one (1) additional token (valued at $1.00 USD). Tokens used are non-refundable. Any request for a token refund shall be considered by BidLife pursuant to the Terms & Conditions and written materials of BidLife. Unused tokens are non-redeemable or transferrable under any circumstance back to cash.
The inherent benefit of BidLife and the token-play format designed as a pay-per-bid is that, unlike penny auctions or traditional auction websites, You as a User automatically know the opportunity of each auction. I.e., if the Seller posts an item and the token value is one hundred (100), You as the User fully understand that if You were to only play 1 single token, Your opportunity is one in one hundred (1/100). Factor in the additional one (1) token purchase (valued at $1.00 USD), You as the User could, in theory, acquire the item for two (2) tokens or a total value of $2.00 USD. This is unlike a penny auction where each bid played only increases the value of the item by $.01, and if, for example, that same item valued at $100.00 USD sells for $20.00 USD, which equates to two thousand (2000) bids played. If You as a User pursued this item and played only one bid as featured on other penny auction websites, Your opportunity would be one in two thousand (1/2000) in the above example. Plus, You have the cost of the item, which is the winning purchase price. BidLife completely eliminates the unknown opportunity and provides You the User a more conducive and transparent means of participating with exponentially enhanced opportunity. Tokens are played in sequential order and only You the User, when playing a token, are immediately notified as to Your position of play. When You are the participant who plays the last token necessary to meet the token threshold as pre-defined by the Seller, You win. Your opportunity improves as You continue to play tokens. Knowing Your position allows You to dictate, control, monitor, and apply skill to Your token playing habits.
Other participants, whether they have played tokens or not, do not know the position of play of anyone else, and the Seller is not made aware as to how many tokens have been played at any given time. Only when the auction ceases will the Seller be made aware that their item has been successfully acquired.
In addition, for those selling items via the auctions, it is Your items that can feasibly sell within minutes upon meeting the token-play threshold as desired by You the Seller. Penny auctions own their inventory. BidLife is a platform for everyone, allowing both Buyers and Sellers in the general public to enjoy and who are eighteen (18) years of age or older.

If You do not agree to the Terms & Conditions, do not use BidLife. If You access, use, register, participate in, or download in any way any service from BidLife, You agree to and are bound by these Terms & Conditions and also acknowledge that (i) You have had the opportunity to review the information regarding the use of BidLife included in the How It Works link, (ii) You have either reviewed the information or have chosen not to do so, and/or (iii) You have had the opportunity to ask questions regarding the use of BidLife by email and to have those questions answered.
BidLife may change (add to, delete, or amend) the Terms & Conditions from time to time, with or without cause. Should this occur, You agree that BidLife may provide You notice of such changes in any of the following ways: via an email from BidLife, via an RSS feed, via BidLife blog, and/or by posting a change notice on the website for a reasonably limited time. It is Your responsibility to review any revised Terms & Conditions. Should You find any subsequent revisions to the Terms & Conditions unacceptable, You should cease using BidLife services. By continuing to access, use, or download in any way any service from BidLife following notice of a revision to the Terms & Conditions, You agree to and are bound by the Terms & Conditions as revised.
By accepting the Terms & Conditions and/or registering with BidLife, You confirm that You are at least eighteen (18) years of age and at least age of majority under applicable laws of the country, state, city, or other jurisdiction (each, a "Jurisdiction") of Your residence; that You can engage in a binding contract; and that You meet all other eligibility requirements contained in these Terms & Conditions. By using BidLife, You warrant that You have the right, authority, and capacity to enter into this agreement and to abide by all of the Terms & Conditions.
You must reside in one (1) of the fifty (50) states of the United States or Washington D.C.
BidLife products and/or services are offered to all legal parties.
BidLife reserves the right to limit in its sole discretion the number of User accounts per natural person to a limit. BidLife limits the number of User accounts per natural person to one (1). You may not participate in shill bidding or collusion with other Users. BidLife reserves the right to permanently close the accounts of Users suspected of shill bidding, collusion, or any other illegal activity on BidLife or in conjunction with any BidLife auction. If Your account has been closed due to suspicion of shill bidding, collusion, or any other illegal activity, You will no longer be entitled to refunds for any of Your token purchases and any items You have in auction or up for direct sale will cease.
You may register only once with BidLife, and You must provide a postal address where You reside (P.O. boxes or similar arrangements are not permitted). You agree not to have more than one (1) account. Additional accounts are permitted for the purpose of a new Username only when accompanied by an alternative email address. You must not provide any misleading information when registering. You may not collude to exchange information with other BidLife Users. Your chosen Username must not be offensive, rude, disparaging, or intended to deceive or delude other BidLife Users. Your Username may not advertise for other websites or services or otherwise violate the intellectual property rights of any third party.
If BidLife receives information that Your Username is harmful or in breach of these Terms & Conditions as evaluated in BidLife’s sole discretion, Your User account may be suspended or terminated until You change the Username. BidLife also may permanently close Your account without prior notice to You for violating these Terms & Conditions.
You are responsible for keeping Your User account password confidential. BidLife will never ask for Your password except during login. You should never provide Your password to anyone, including BidLife' employees. User accounts are non-transferable. Only You may use Your User account. You agree to be liable for all offensive or unlawful activities that are undertaken using Your User account.
BidLife reserves the right to terminate Your account temporarily or permanently at BidLife’s sole discretion if it determines or suspects You have violated these Terms & Conditions, any laws, or the rights of any other User or other third parties. Examples of unauthorized usage include, but are not limited to, the use of unauthorized third-party token-playing or token-play tracking software, the creation of multiple accounts by the same individual or other fraudulent account activity or behavior, shill bidding of any type. You agree that if BidLife, in good faith and in its sole discretion, determines that You have breached these Terms & Conditions, BidLife may terminate your use of BidLife, cancel your User account, and withhold, cancel, or otherwise retain any and all of Your pending deliveries. In such circumstances, no refunds will be issued for unused tokens that were previously purchased.
Every auction is unique, and the results of all auctions offered on BidLife depend on the number of tokens played from Users participating in such auctions and the skill of the Users participating in an auction; precise opportunity of winning is immediately known upon playing. Again, BidLife is a pay-per-bid auction website. Once a participant plays a single token, they will know their exact position of play. Tokens are played in order and the participant who plays the final token—as pre-determined by the Seller who set the token threshold—will win the item and be required to complete the transaction with an additional one (1) token purchase.
Note: Only the participant knows their position of play. Additional Users do not know the position of play between each other, and the Seller is never made aware of how many tokens have been played on their own items up for auction and are only notified when the auction has ceased.
In the case of an auction whereby You as a winning Buyer fail to complete the transaction by using one (1) additional token to purchase the item in an auction scenario within twenty-four (24) hours from when the auction ceases, You will forfeit your right to acquire, automatically defaulting to the next to last Buyer who played a token in that same auction.
You are responsible for reading the full item listing before participating in an auction or committing to buy the item directly from the Seller as described. You enter into a legally binding contract to purchase an item when you commit to buy an item directly, your offer for an item is accepted, or if you have the winning bid (or your bid is otherwise accepted). In a direct sale, the Seller is responsible for paying a flat rate of eleven (11%) percent or thirteen (13%) commission, depending on if the item is ‘Standard’ or ‘Featured’ respectively. These commissions are collected by BidLife for its services when selling an item directly. This commission is non-negotiable and auto-calculated prior to funds being released to the Seller for a completed transaction. Funds deposited to the Seller will occur seven to fourteen (7-14) days after a transaction has been completed.
After an auction has ended, You must actively confirm and pay the additional one (1) token valued at $1.00 USD, to be deducted from Your account for the won auction in order to complete the transaction and fully acquire the item. If You have zero (0) remaining tokens in Your account, You will by default be required to purchase another token package. Once You have clicked on the confirmation button, the win and acquisition are accepted. If an auction win has not been confirmed and paid within twenty-four (24) hours of the auction end date, BidLife may withdraw the offer to conclude the order, and permanently revoke the winner's right to pay for and receive delivery of that particular item. If BidLife has to take such action, all token-plays placed in that auction will be deemed expired and will be non-refundable. The next to last token played would be the winning Buyer who played that last token. That Buyer would be then be notified via their BidLife account and email as provided in their profile. Failure to complete the acquisition from the Buyer within twenty-four (24) hours would default to the last token played before that. Essentially, the process repeats until a Buyer claims ownership. After confirming the win and paying the total amount due of one (1) additional token (valued at $1.00 USD), the Buyer will receive a confirmation email. Additionally, an alert will automatically follow immediately thereafter for You the Buyer to complete the necessary shipping information and pay for the process of shipping the item. Buyers should check their BidLife account and email for such notifications.
Sellers are fully responsible for properly posting and representing with accuracy the item up for auction or for direct sale. Furthermore, providing images deemed lewd, indecent, or unacceptable by the site administrator will be removed. The same procedure applies to all text and descriptions of the item itself. The BidLife site administrator has complete authority to edit as needed or completely revoke the Sellers account privileges if there is egregious behavior, again defined and determined by BidLife and the site administrator. Once an auction or direct sale has ceased and the Buyer has completed all the necessary steps to complete the transaction, You the Seller will be notified to immediately ship the winning item within one (1) week to the Buyer’s address provided and on file in the Buyer’s profile. Shipping costs are the responsibility of the Buyer but pre-determined by You the Seller. Also, upon completion of the transaction, You the Seller will receive funds deposited into the account as set up in Your profile. The funds will be for the amount of the token threshold as set by You the Seller for an auction, less a flat rate of nine (9%) percent ‘Standard’ or eleven (11%) percent ‘Featured’ item commission due payable to BidLife. BidLife will automatically calculate and deduct these monies from Your total proceeds. I.e., You the Seller set the threshold at one hundred (100) tokens to be played, and that threshold is met. You the Seller would receive $91.91 USD ($100.00 USD + $1.00 USD acquisition fee for a total of $101.00 USD less nine (9%) or $9.09, based on the fee associated with a ‘Standard’ item auction, which is retained by the site for brokering these auction services). Funds deposited to the Seller will occur seven to fourteen (7-14) days after a transaction has been completed.
If the item You ship is damaged, not as described, not as advertised, inaccurate, or missing, the winning recipient reserves the right to report the abuse of You the Seller. In turn, Your selling privileges may be revoked by BidLife. Therefore, it is in Your best interest as a Seller to provide items that match the description You advertise in any auction or provide to participants of the auction. If You desire to have continued selling success on BidLife, be accurate in Your description and be certain that your description accurately describes and matches the condition of the item, and make sure the item is delivered promptly.
All the same Seller responsibilities hold true as described above when also selling an item directly. The only difference is You the Seller would pay a flat rate of eleven (11%) percent ‘Standard’ or thirteen (13%) percent ‘Featured’ item commission due payable to BidLife.
BidLife is exempt from any and all responsibility of or liability associated with any shipped items. This includes but is not limited to missing, damaged, defective, and inaccurate items. BidLife will refund tokens played by a participant who won an item that does not meet the original description, condition, or quality. If the item does not arrive, BidLife is not liable or responsible but will refund tokens to any participant. Those token refunds will be in the exact same amount/quantity as played by the participant. In order for someone to be considered for a refund, a written complaint must be sent to info@BidLife.com, including the description and pictures of the item in question and number of tokens they have played in that particular auction.
Under an auction scenario, the Seller will receive funds less commission fees as applied, for their item sold, in seven to fourteen (7-14) days after they receive the shipping information from the Buyer. These funds will be deposited into the Seller’s account as listed on file.
Under the direct sale scenario, the Seller will receive funds less commission fees as applied, for their item sold, in seven to fourteen (7-14) days after the transaction is completed between both the Seller and Buyer. These funds will be deposited into the Seller’s account as listed on file.
Any special promotions run by BidLife shall only be valid if they are announced on BidLife or in its corresponding BidLife Special Offers email. Certain promotions may only be valid for a limited time, with details announced on BidLife or in our BidLife Special Offers. Once the advertised time limit of any promotion has been reached, the promotion is no longer available.
You may post reviews and/or comments, so long as the content is not illegal, obscene, threatening, defamatory, invasive of privacy, infringing of any intellectual property right, or otherwise injurious to third parties or objectionable, and does not consist of or contain software, any viruses, political messages, commercial solicitation, chain letters, mass mailings, or any other form of "spam." You may not use a false email address, impersonate any person or entity, or otherwise mislead as to the origin of any content You post. BidLife reserves the right (but does not have the obligation) to remove or edit such content. BidLife does not regularly review posted content. BidLife also reserves the right to prohibit You from posting additional comments at any time.
If You do post content, and unless we indicate otherwise, You grant BidLife, its affiliates, subsidiaries, and agents a nonexclusive, royalty-free, perpetual, irrevocable, and fully sub-licensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content throughout the world in any form of media. You grant BidLife, its affiliates, subsidiaries, and agents the right to use the name that You submit in connection with such content. You represent and warrant that You own or otherwise control all of the rights to the content that You post, that the content is accurate, that use of the content You supply does not violate this policy and will not cause injury to any person or entity, and that You will indemnify BidLife for all claims whatsoever resulting from content You supply. BidLife has the right but not the obligation to monitor and edit or remove any activity or content. BidLife takes no responsibility and assumes no liability for any auction posted by any User.
BidLife is not responsible or liable for defective items received. You willingly accept and assume, based on the item’s description, that the item meets all details of its description. If the item is flawed or does not meet Your expectations, please provide feedback at info@BidLife.com. Your feedback will be compiled and saved by BidLife. Sellers who provide a poor or inaccurately described product three (3) times, will be subject to having their account revoked. Sellers who do not ship or provide a product will be subject to having their account revoked.
Deliveries are made exclusively to the fifty (50) states of the United States and Washington D.C. The Buyer is responsible for the shipping costs and will pay those costs upon completion of a won auction or direct sale. Those shipping costs as pre-determined by the Seller are estimates. Any difference in those costs that would result in a higher shipping cost than originally set by the Seller will be the responsibility of the Seller.
The Seller will have one (1) week to ship the item in order to provide a speedy delivery to the Buyer. A Seller will be offered two (2) shipping methods through which to produce a label: FedEx & UPS. Utilizing the ability to produce a label within the BidLife website allows both the Seller and Buyer to track a package. It still remains that BidLife is exempt from any and all responsibility of or liability associated with any shipped items. This includes but is not limited to missing items damaged, defective, and inaccurate items.
You agree that use of BidLife is at Your sole risk. BidLife is a pay-per-bid website. Neither BidLife nor any of its officers, directors, employees, agents, merchants, sponsors, licensors, component suppliers (both hardware and software), or any third party who provides products or services purchased from or distributed by BidLife along with their affiliates, subsidiaries, agents, and the like, warrant that websites affiliated with BidLife, including but not limited to BidLife, will be uninterrupted, error-free, or free of viruses, worms, Trojan horses, keyboard loggers, spyware, adware, malware, harmful or malicious code, or other defects. The information, products, and services published on BidLife may contain inaccuracies or typographical errors. BidLife makes no warranty as to the results that may be obtained from the use of BidLife, or as to the accuracy, reliability, or currency of any information content, service, or merchandise provided through BidLife. BidLife shall not be responsible for any opinions, views, advice, or statements posted on BidLife (including, without limitation, in any public posting areas of the website) by any person or entity other than an authorized BidLife spokesperson. Advertisers, content providers, Users, guests, independent writers, and experts are not authorized BidLife spokespersons. At no time should the opinions, views, advice, or statements provided by advertisers, content providers, Users, guests, independent writers, or experts be relied upon in any way, including for any personal decision or otherwise, without independent verification.
Your use of BidLife is at Your sole risk. This website, including the service and software, is provided by BidLife Inc on an "as is" and "as available" basis. To the fullest extent permissible by applicable law, BidLife disclaims all implied warranties, including but not limited to implied and statutory warranties of merchantability, fitness for a particular purpose, and non-infringement.
BidLife makes no representations or warranties of any kind, express or implied, as to the operation of BidLife; security of the website; the results that may be obtained from use of BidLife; the availability of any goods or services offered on or through the website, including email; or the information, content, materials, or products included on the website. Without limiting the foregoing, BidLife does not warrant that the materials are accurate, reliable, or correct; that the website will meet Your requirements; that the website will be available at any particular time or location, uninterrupted, or secure; that any defects or errors will be corrected; or that the materials are free of viruses or other harmful components. Any service or software downloaded or otherwise obtained through the use of the website is done at Your own discretion and risk, and You will be solely responsible for any damage to Your computer system or loss of data that results from the download or installation of any such material. Some states or other jurisdictions do not allow the exclusion of implied warranties, so the above exclusions may not apply to You.
No advice or information, whether oral or written, obtained by You from the website or service shall create any warranty not expressly stated in these terms & conditions. BidLife shall not be liable in any manner, and the responsibility of use is solely the User of the website.
You expressly understand and agree that BidLife will not be liable for any damages of any kind arising from the use of or inability to use the website, software, or any related services, including but not limited to direct, indirect, incidental, consequential, special, exemplary, and punitive damages, whether such claim is based on warranty, contract, tort (including negligence), or otherwise (even if provider has been advised of the possibility of such damages).
The limitations of this section shall apply notwithstanding any reliance on any information obtained from BidLife or that results from mistakes, omissions, interruptions, deletion of files or email, errors, defects, viruses or other malicious code, delays in operation or transmission, or any failure of performance, whether or not resulting from acts of god, communications failure, theft, destruction, or unauthorized access to provider records, programs, or services, and whether or not BidLife has been advised of the possibility of such damages. User hereby acknowledges that this limitation shall apply to all content, merchandise, and services available through BidLife.
This limitation of liability shall apply whether the damages arise from assembly, use or misuse of or reliance on BidLife services or items purchased through BidLife, from inability to use BidLife services or items purchased through BidLife, or from the interruption, suspension, or termination of BidLife services (including such damages incurred by third parties).
Some states or other jurisdictions do not allow the exclusion or limitation of liability for incidental or consequential damages, so the above limitations and exclusions may not apply to You.
If You are dissatisfied with any portion of BidLife, You should discontinue Your use of BidLife.
Except for the warranties set forth above, BidLife makes no other warranties, either express or implied, with respect to the products, or any related services performed by BidLife or any of its affiliates, agents, subcontractors, or the like in connection with any order, including, without limitation, any warranties of merchantability or fitness for a particular purpose.
You agree that BidLife shall not be liable for personal injury and property damage resulting from the use, improper handling, modification, or misuse of the products by You or any other person following delivery. In no event shall BidLife be liable to You or any other person for incidental or consequential damages including but not limited to loss of profits or goodwill, loss-of-use damages or additional expenses incurred, whether pursuant to a claim in contract, tort or otherwise, and whether in an action for breach of warranty or otherwise.
You agree to indemnify, defend, and hold BidLife and its members, managers, shareholders, directors, officers, employees, agents, affiliates, licensors, and other partners (collectively, the "Indemnified Persons") harmless from any loss, cost, expense, liability, claim, or demand, including reasonable attorneys' fees, suffered by any Indemnified Persons due to, arising out of, or in connection with (i) Your use of BidLife or any of the services offered by BidLife, (ii) any violation of these Terms & Conditions by You or any person acting with You or for You, (iii) any violation of applicable law or court order by You, and (iv) any negligence, willful misconduct, malfeasance, or the like by You.
A system outage has occurred if no token-plays can be submitted for items due to an unforeseeable disruption in any system. In such a case, auctions will be temporarily paused and the remaining time (if applicable) for the auctions, the current token-playing price, and the current highest token played will be recorded. After the disruption has been resolved, the auctions will be continued. Temporarily paused auctions are clearly indicated. Token-plays placed on a temporarily paused auction will not be credited back to Your account; and, BidLife is not responsible for any other costs incurred by You due to a system outage. BidLife reserves the right to cancel auctions that end due to system error, bot/shill token participants, employee token-participants, technical problems, or any other reason.
With current technology, it is not possible to develop and operate computer programs (software) and data processing systems (hardware) entirely without error, or to rule out any unpredictable events in connection with the internet. BidLife, therefore, provides no guarantee for the constant and uninterrupted availability of the website and other technical systems. BidLife shall not be liable for any damage incurred by auction Users or third parties from using BidLife's services. In particular, BidLife shall not be liable for damage that occurs due to token-plays not being received by BidLife, not being received promptly, or not being considered as a consequence of any technical error.
BIDLIFETM, and all BidLife logos are trademarks of BidLife Inc. The designs, layouts, website details, and content are property of BidLife Inc and protected under United States copyright laws. All rights are reserved. Any trademarks or copyrighted content appearing on BidLife may be the property of their respective owners.
By agreeing to these Terms & Conditions, You and BidLife each waive the right to a jury trial or to participate in a class action. Further, You agree that any and all disputes, claims, and causes of action relating in any way to Your use of BidLife, including Your use prior to agreeing to these Terms & Conditions, or to any products acquired through BidLife shall be subject to the terms and conditions herein.
This Terms & Conditions Agreement and Your use of BidLife shall be governed by the laws of the United States of America and the State of Wisconsin. Without in any way limiting the "Dispute Resolution" requirements set forth above, any court proceeding related to the BidLife website or these Terms & Conditions may be brought only in a federal or state court sitting in Wisconsin. You agree to accept the jurisdiction of such courts.
If You open an account or participate in auctions offered by BidLife while located in a prohibited jurisdiction, You will be in violation of the law and these Terms & Conditions and subject to having Your account suspended or closed permanently. You agree that BidLife will not be held liable in any respect if laws applicable to You restrict or prohibit Your participation.
The UN Convention on the International Sale of Goods shall not apply.
If any provision of these Terms & Conditions is held by a court of competent jurisdiction to be invalid, unenforceable, or void, the remainder of these Terms & Conditions shall remain in force and effect and such invalid, unenforceable or void provisions will be deemed to be modified so as to affect the original intent of these Terms & Conditions as closely as possible.
The protection of Your data is very important to us. For more information on the collection, processing, and use of personal data, please read our Privacy Policy. BidLife and its system, servers and data bases do not retain credit card information and only retain the information as provided in a User profile including but not limited to: name, email address, mailing address, Username and phone number.
Our website may contain links to other websites operated by third parties, and these sites may likewise contain links to other websites. These links are provided strictly for Your convenience and do not constitute an endorsement or approval of any such site or website. BidLife assumes no liability for the content of external links. The operators of the sites linked to and from this site are solely responsible for their contents. We cannot take any responsibility for the content, protection, or privacy guidelines of third-party websites.
